Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by AI Scale Labs (“ASL,” “we,” “us,” or “our”). By engaging our services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use our services.
1. Overview
AI Scale Labs provides AI deployment services for small businesses, including AI assistant setup, security hardening, integration configuration, team training, managed care, custom AI agent development, and enterprise AI training programs. These Terms apply to all services purchased from or provided by AI Scale Labs.
2. Services Provided
AI Scale Labs offers the following categories of services:
2.1 AI Assistant Setup
We deploy AI assistants for your business via hosted cloud infrastructure or dedicated Mac Mini hardware. Setup includes security hardening, integration with your existing tools, and workflow configuration tailored to your operations.
- Remote setup is available worldwide.
- In-person setup is available in the Denver, Colorado metropolitan area only.
2.2 Team Training
All setups include a team training session to ensure your staff can effectively use the deployed AI tools. Additional training sessions may be purchased separately.
2.3 30-Day Hypercare
Every AI assistant setup includes a 30-day post-launch hypercare period at no additional charge. During this period, we provide priority support, performance monitoring, and adjustments to ensure your deployment is running smoothly.
2.4 Managed Care
After the hypercare period, customers may subscribe to our ongoing Managed Care plan. Managed Care includes continuous monitoring, updates, optimization, and priority support for your AI deployment.
2.5 Custom AI Agent Development
We build custom AI agents designed for your specific business processes and workflows. Custom agents are scoped, developed, and deployed on a per-project basis.
2.6 Workshops & Enterprise AI Training
We offer AI workshops and comprehensive Enterprise AI Training programs for organizations looking to upskill their teams on AI tools, strategy, and implementation.
3. Payment & Refunds
3.1 Payment
Setup fees are one-time charges due prior to the start of work. Managed Care fees are billed monthly. Workshop and Enterprise Training fees are billed per the terms of the applicable proposal or agreement. All fees are quoted in U.S. dollars.
3.2 Satisfaction Guarantee
We stand behind our work. If you are unhappy with your AI assistant setup for any reason, we will issue a full refund—no questions asked.
3.3 Cancellation & Refunds
- Setup services: If you cancel before your scheduled setup session, you will receive a full refund. Setup fees are non-refundable after the setup has been completed.
- Managed Care: You may cancel your Managed Care subscription at any time with 30 days’ written notice. No refunds will be issued for partial months.
- Workshops & Training: Cancellation and refund terms are specified in the applicable proposal or agreement.
4. Customer Responsibilities
To ensure a successful deployment, you agree to:
- Maintain backups of your business data before and during the setup process. AI Scale Labs is not responsible for data loss resulting from inadequate backups.
- Provide timely access to systems, credentials, and personnel as needed to complete the engagement.
- Ensure accuracy of all information and materials you provide to us.
- Comply with all applicable laws and the terms of service of any third-party platforms integrated with your AI deployment.
- Manage your own API subscriptions and associated costs for third-party AI platforms (e.g., Anthropic, OpenAI) used in your deployment.
5. Intellectual Property
AI Scale Labs does not claim ownership of your data. You retain all rights to your business data, content, and materials at all times.
AI tools deployed as part of our services remain licensed under their respective developers’ terms (e.g., Anthropic’s Terms of Service for Claude, OpenAI’s Terms of Use for GPT). Your use of these tools is subject to those terms.
Any custom configurations, workflows, or integrations we build for you are yours to keep and use, subject to the licensing terms of the underlying tools.
6. AI & Third-Party Tools
AI Scale Labs is tool-agnostic. We deploy and configure third-party AI platforms on your behalf, but we are not the developer or provider of these AI tools.
- The performance, accuracy, and availability of AI tools depend on their respective third-party providers.
- AI outputs are generated by third-party models and are not guaranteed to be accurate, complete, or error-free.
- You are responsible for reviewing and validating AI outputs before relying on them for business decisions.
- You are responsible for maintaining and paying for your own API subscriptions and usage costs with third-party AI providers.
7. Security & Data
AI Scale Labs follows security best practices when deploying AI tools for your business, including sandboxing, access controls, and credential management.
- We do not store your credentials after the setup process is complete.
- We do not access your systems outside of the agreed-upon scope of work without your explicit permission.
- After setup and hypercare, you are responsible for the ongoing security of your own systems, including credential rotation, software updates, and access management.
If you subscribe to Managed Care, we will assist with security monitoring and updates as part of that service.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our services are provided “as is” without warranties of any kind, express or implied, except as explicitly stated in these Terms.
- Our total liability to you for any claims arising from or related to our services is limited to the amount you paid for the specific service giving rise to the claim.
- We are not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, business interruption, or reputational harm.
- We do not guarantee the accuracy, reliability, or suitability of any AI-generated outputs. You use AI outputs at your own risk.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This includes, but is not limited to, business processes, customer data, technical configurations, and pricing details.
This obligation does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party;
- Was already known to the receiving party prior to disclosure;
- Is independently developed without use of the disclosing party’s confidential information; or
- Is required to be disclosed by law or legal process.
10. Termination
Either party may terminate the engagement by providing written notice to the other party.
- Managed Care subscriptions require 30 days’ written notice to cancel.
- Fees for work already completed at the time of termination are non-refundable.
- Upon termination, we will cease all work and provide you with any deliverables completed up to that point.
- Sections 5, 8, 9, and 11 of these Terms survive termination.
11. Dispute Resolution
Any disputes arising from or related to these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Denver, Colorado, in accordance with the AAA’s Commercial Arbitration Rules.
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws provisions.
Both parties agree to attempt to resolve any disputes informally before initiating arbitration.
12. Changes to These Terms
AI Scale Labs reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
For material changes, we will make reasonable efforts to notify active customers via email.
